Distance Sales Agreement

This Distance Sales Agreement ("Agreement") is entered into electronically between the Seller and the Buyer in accordance with applicable consumer protection and electronic commerce laws of the Republic of Türkiye.

BUYER

The Buyer is the individual or legal entity who places an order through www.kiofisi.com and whose identity is determined based on the information provided during the checkout process.

The Buyer's name, company name (if applicable), address, telephone number, and email address shall be those entered during the ordering process.


ARTICLE 2 – SUBJECT OF THE AGREEMENT

The purpose of this Agreement is to define the rights and obligations of the Seller and the Buyer regarding the sale and delivery of the products ordered electronically through www.kiofisi.com, in accordance with the applicable consumer protection legislation and regulations governing distance sales.


ARTICLE 3 – PRE-CONTRACTUAL INFORMATION

Before accepting this Agreement, the Buyer confirms that they have been provided with clear and understandable information regarding:

  • Seller's identity and contact information;

  • Main characteristics of the products;

  • Total purchase price, including applicable taxes;

  • Payment methods;

  • Shipping and delivery conditions;

  • Shipping charges and any additional costs;

  • Right of withdrawal and the conditions for exercising that right;

  • Cases where the right of withdrawal does not apply;

  • Consumer complaint and dispute resolution procedures.

The Pre-Information Form displayed on the Website and the invoice issued for the order form an integral part of this Agreement.


ARTICLE 4 – PRODUCT INFORMATION

The product type, specifications, quantity, price, payment method, shipping address, billing information, and shipping costs are those displayed in the order summary before the Buyer confirms the purchase.

The Seller reserves the right to suspend or cancel an order if it determines that the information provided by the Buyer is inaccurate, incomplete, fraudulent, or misleading.


ARTICLE 5 – EFFECTIVE DATE AND DELIVERY

This Agreement becomes effective on the date the Buyer electronically confirms the order.

Following successful payment authorization, products shall be prepared and dispatched within approximately 1–7 business days, subject to product availability.

Delivery shall be made to the shipping address specified by the Buyer during checkout.

Upon delivery, the Buyer is advised to inspect the package before accepting it. If the package appears damaged, the Buyer should request a damage report from the courier before accepting delivery.


ARTICLE 6 – FORCE MAJEURE

Neither party shall be liable for delays or failure to perform caused by events beyond reasonable control, including but not limited to:

  • Natural disasters;

  • Fire or flood;

  • War or civil unrest;

  • Strikes;

  • Transportation disruptions;

  • Customs delays;

  • Government restrictions;

  • Technical failures;

  • Other unforeseen circumstances.

If a force majeure event continues for more than thirty (30) days, either party may terminate this Agreement.


ARTICLE 7 – SELLER'S RIGHTS AND OBLIGATIONS

The Seller agrees to fulfill its obligations relating to the sale and delivery of the ordered products in accordance with applicable legislation.

Orders shall be processed after successful payment confirmation.

If a product becomes unavailable, the Seller may:

  • cancel the order and issue a full refund; or

  • with the Buyer's approval, provide a comparable replacement product.


ARTICLE 8 – BUYER'S RIGHTS AND OBLIGATIONS

The Buyer declares that all information provided during the order process is accurate and complete.

The Buyer should inspect the shipment upon delivery.

Unless damage is reported upon delivery, the product shall be deemed delivered in good condition.

The Buyer is responsible for complying with the terms of the payment method used for the purchase, including any obligations arising from agreements with the payment provider or card issuer.


ARTICLE 9 – RIGHT OF WITHDRAWAL

Where applicable under consumer protection law, the Buyer may exercise the statutory right of withdrawal within 14 days from the date of receiving the product.

To exercise this right, the Buyer must notify the Seller in writing by email before the withdrawal period expires.

If the right of withdrawal is exercised:

  • the product must be unused and in resalable condition;

  • all original accessories, packaging, and documentation must be returned;

  • the purchase price will be refunded within the legally required period after the returned product has been received and inspected.


ARTICLE 10 – EXCEPTIONS TO THE RIGHT OF WITHDRAWAL

The statutory right of withdrawal does not apply, where permitted by applicable law, to:

  • personalized or custom-made products;

  • engraved or specially manufactured items;

  • products made according to the Buyer's individual specifications;

  • goods that cannot be returned due to hygiene or health reasons after being unsealed;

  • products that have been used, damaged, or altered after delivery.


ARTICLE 11 – PRIVACY

The Buyer's personal data shall be processed in accordance with applicable data protection laws.

ARTICLE 12 – EVIDENCE

The parties agree that the Seller's electronic records, order confirmations, payment records, emails, server logs, and other digital records shall constitute valid evidence to the extent permitted by applicable law.


ARTICLE 13 – GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the Republic of Türkiye.

Consumer disputes shall be resolved by the competent Consumer Arbitration Committees or Consumer Courts in accordance with the monetary limits and procedures established by Turkish legislation.

For all other disputes, the Courts and Enforcement Offices of Bursa shall have jurisdiction unless otherwise required by mandatory consumer protection laws.


ARTICLE 14 – EFFECTIVENESS

By completing the order electronically, the Buyer confirms that they have read, understood, and accepted all provisions of this Distance Sales Agreement.

This Agreement becomes effective immediately upon electronic confirmation of the order.
